Generate & Customize Your 50/50 Partnership Agreement

Devlip employees and contractors will never request your primary login or root credentials. We operate exclusively through secondary user roles (Seller Central User Permissions, Shopify Staff Accounts, Meta Business Manager Partner IDs) with scoped access. 2FA is mandatory across our entire team.
1. Profit split and how it is calculated
Under the zero upfront partner plan ($0 setup, $0 monthly base fee), our compensation is strictly 50% of Realized Monthly Net Profit. Net Profit is calculated from platform settlement reports as follows:
$0 Profit Protection: If a calendar month generates $0 net profit or an operational loss, the Client owes Devlip $0 in management fees. Agency compensation is 100% aligned with client profitability. Official marketplace settlement reports (Amazon Payments, Walmart Settlement, Shopify Payouts) serve as the sole authoritative source of truth.
2. What you own
The Client owns all right, title, and interest in and to:
- All marketplace accounts (Amazon Seller Central, Walmart, TikTok Shop, etc.)
- All product listings, photography, 3D renders, and A+ Content modules
- All customer lists, email databases, and analytics historical data
- All custom software code repositories and Next.js / Shopify themes upon payment
Devlip maintains a strict “No Hostage Policy”. Upon termination or cancellation, all delegated user permissions are severed within 5 business days. We do not hold storefronts hostage.
3. Limitation of liability
To the maximum extent permitted by applicable law, Devlip's total aggregate liability arising out of or related to this agreement, whether in contract, tort, or otherwise, shall not exceed the total fees actually received by Devlip from the Client in the three (3) months preceding the incident.
4. How you pay us
Invoices are payable in US Dollars ($), Canadian Dollars (CA$), or British Pounds (£). We provide local ACH, EFT, and BACS receiving accounts via Wise Business and Payoneer, allowing clients to pay locally without expensive international wire transfer fees.
5. Your right to leave honest feedback
Devlip agreements contain no non-disparagement clauses, review restrictions, or gag orders. You retain the full legal right to publish honest, public feedback on platforms such as Clutch, Google, or Trustpilot.
