Terms of service
Last updated: September 16, 2026
1. Scope of agreement
These Terms of Service govern your access to and use of https://devlip.com and all professional marketplace operations, consulting, and software development services provided by Devlip LLC (“Devlip”, “we”, “us”).
2. Nature of services and client ownership
Devlip acts as an independent operational and technical contractor. You, the Client, retain 100% legal ownership of your business entity, trademarks, inventory, customer records, and marketplace merchant accounts (Amazon Seller Central, Walmart Marketplace, TikTok Shop, Shopify). You authorize Devlip to configure listings, manage media budgets, and provide order logistics under secondary user permissions.
3. E-commerce store management models
A. Fixed monthly management: Clients on our fixed management tier pay 1500 USD per month. This fee covers dedicated account management, catalog updates, PPC management, and customer messaging. Clients keep 100% of store profits.
B. Zero upfront partner plan: On qualifying accounts, Devlip charges zero upfront setup fees and zero monthly base retainers. Compensation is strictly a 50/50 split of verified monthly net profit. The client remains responsible for direct operational costs, including inventory purchases (COGS), marketplace account subscriptions, carrier shipping, and approved ad spend.
C. Termination: Either party may cancel e-commerce management agreements with 30 days written notice. You retain full access to your store and accounts upon termination. Full cancellation steps and refund terms are set out in our Refund & Cancellation Policy.
4. Software development and intellectual property
All custom software development projects (business websites, mobile apps, SaaS applications, POS systems) operate under written fixed-scope milestone contracts.
Upon receipt of final milestone payment, 100% of custom source code, design files, administrative logins, and deployment environments are transferred entirely to your legal entity. Devlip claims zero recurring royalty or licensing interest in custom software developed for you.
5. Limitation of liability
To the maximum extent permitted by applicable law, in no event shall Devlip be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption arising from marketplace algorithmic changes, third-party carrier delays, or platform policy updates.
Devlip's total aggregate liability for all claims arising under any agreement shall not exceed the total agency fees paid by you to Devlip during the three months preceding the claim.
6. Consumer review fairness
In accordance with the Consumer Review Fairness Act, nothing in these terms restricts your legal right to post truthful, honest reviews regarding Devlip services.
7. Governing law and contact
These terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction of agreement execution. For legal notices, contact partnerships@devlip.com.
